OPEVION — TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the website opevion.com and any services provided by Opevion, the trading name of Skuma Global Limited, a company registered in Hong Kong ("Company", "we", "us", or "our").

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Services

Opevion provides managed operations services, consulting, AI-augmented workflow design, and related services for physical product and ecommerce brands. The specific scope, deliverables, and fees for each engagement are defined in a separate Service Agreement or Statement of Work agreed upon between the Company and the Client.

2. Eligibility

Our services are intended for business entities and professionals. By engaging our services, you represent that you are authorised to enter into binding agreements on behalf of your business.

3. Client Obligations

To enable us to deliver our services effectively, you agree to:

  • Provide timely access to the tools, platforms, and data required for your engagement (e.g., Shopify admin, email access, supplier contacts)

  • Respond to requests for information or approval within a reasonable timeframe

  • Designate a primary point of contact for the engagement

  • Provide accurate and complete information about your business operations

Delays caused by failure to meet these obligations may affect service delivery timelines and are not covered by our 14-day onboarding guarantee.

4. Fees and Payment

4.1 Billing

  • Monthly retainer fees are invoiced on the 1st of each calendar month and are due within 7 days of invoice date

  • Project-based fees are invoiced according to the milestone schedule defined in the Service Agreement

  • All fees are quoted and payable in US Dollars (USD) unless otherwise agreed in writing

  • Invoices are issued by Skuma Global Limited, the legal entity behind the Opevion trading name

4.2 Payment Methods

We accept payment via credit card (processed through Stripe) and bank transfer. All credit card transactions are processed by Stripe, a PCI DSS Level 1 certified payment processor. We do not store your credit card information.

4.3 Late Payment

If payment is not received within 14 days of the invoice date, we reserve the right to suspend service delivery until the outstanding balance is settled. Interest of 1.5% per month may be applied to overdue balances.

4.4 Billing Descriptor

Charges on your credit card statement will appear as "Opevion" or "Skuma Global" depending on your card issuer's display format.

5. Cancellation

  • Monthly retainer engagements require 30 days written notice to cancel, submitted via email to info@opevion.com

  • Upon cancellation, the current billing period is fulfilled in full. No partial-month refunds are issued

  • Project-based engagements are governed by the cancellation terms in the specific Service Agreement

  • Either party may terminate the engagement immediately in the event of a material breach by the other party

6. The 14-Day Onboarding Guarantee

If your Operations Pod is not fully operational and delivering your first weekly dashboard by Day 14 of onboarding, we will extend the onboarding period at no additional charge until the Pod is operational. This guarantee is subject to the Client meeting their obligations under Section 3 (providing timely access, information, and approvals).

7. Intellectual Property

7.1 Client Materials

All business data, brand assets, product information, supplier contacts, and operational data provided by the Client remain the exclusive property of the Client.

7.2 Deliverables

SOPs, workflow documentation, and operational processes created specifically for the Client during the engagement become the Client's property upon full payment. The Client has the right to continue using these materials after the engagement ends.

7.3 Opevion Systems

Our proprietary methodologies, tools, automation templates, reporting frameworks, and Pod architecture remain the exclusive property of Skuma Global Limited. The Client receives a licence to benefit from these systems during the engagement but does not acquire ownership of them.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to: business financials, supplier pricing, customer data, product development plans, and operational processes. Confidentiality obligations survive termination of the engagement for a period of 2 years.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Opevion's total liability for any claims arising from or related to the services shall not exceed the total fees paid by the Client in the 3 months preceding the claim

  • Opevion shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruption

  • Opevion is not liable for failures, delays, or losses caused by third-party service providers (including 3PL providers, suppliers, payment processors, or hosting services) that are outside our direct control

10. Indemnification

The Client agrees to indemnify and hold harmless Skuma Global Limited, its officers, employees, and agents from any claims, damages, or expenses arising from the Client's breach of these Terms, misuse of deliverables, or violation of any applicable law.

11. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to events beyond their reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet outages, or acts of war.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from these Terms or the services provided shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

13. Modifications

We reserve the right to update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
